  5.                               GAPCDR LICENSE AGREEMENT
  6.                               ------------------------

  8.           This legal  document is  an agreement  between you, the end user,
  9.           and GAP  Development Company.    By  using  the  GAPCDR  software
  10.           (the "SOFTWARE") provided  by GAP  Development Company, you agree
  11.           to become  bound by  the terms  of this agreement, which includes
  12.           the software license and the disclaimer of warranty.

  14.           This agreement constitutes the complete agreement between you and
  15.           GAP Development  Company.   If you  do not  agree to the terms of
  16.           this agreement,  promptly return  the disks  and other items that
  17.           are part of this product.

  19.           The SOFTWARE  may not  be copied,  reproduced, disclosed,  trans-
  20.           ferred, or  reduced to  any form,  including electronic medium or
  21.           machine readable  form, or  transmitted or  publicly performed by
  22.           any  means,  electronic  or  otherwise,  unless  GAP  Development
  23.           Company consents in writing, in advance.

  25.           The SOFTWARE  contains valuable  trade  secrets  and  proprietary
  26.           information and  is protected by federal copyright laws. Unautho-
  27.           rized use  of the  software  can  result  in  civil  damages  and
  28.           criminal prosecution.
  29.  
  30.           You may  use the  SOFTWARE on a single computer only. You may not
  31.           network the  SOFTWARE or  otherwise  use  it  on  more  than  one
  32.           computer or terminal at the same time.

  34.           YOU MAY  NOT COPY  the SOFTWARE except to place the programs onto
  35.           your hard  disk and  to make  archival backup  copies onto floppy
  36.           disks for your personal use as permitted by this License. You may
  37.           not copy the written materials accompanying the software. You may
  38.           not grant  sublicenses  nor  transfer  the  SOFTWARE  or  related
  39.           materials in  any form  to  any  person  unless  GAP  Development
  40.           Company consents in writing, in advance.

  42.           Registration of the SOFTWARE is REQUIRED as a condition of use.

  44.           You are  granted a  royalty-free right  to distribute  executable
  45.           files created using the SOFTWARE.  You may not, under any circum-
  46.           stances distribute  any part of the SOFTWARE with your executable
  47.           files.

  49.           If you  purchased the  SOFTWARE SOURCE  CODE, you  are granted  a
  50.           nonexclusive, personal, nontransferable, nonassignable license to
  51.           use and  modify the  SOURCE CODE and to distribute your programs.
  52.           You may  not reproduce  or distribute  the SOURCE  CODE except in
  53.           executable  form   as  part  of  your  executable  file.  If  you
  54.           distribute your  source code,  you may  not include  the SOFTWARE
  55.           SOURCE CODE as part of your product.

  57.           This License  is effective  until terminated.   This License will
  58.           terminate automatically  if you fail to comply with any provision
  59.           of this License.

  63.           Government End  Users: If GAPCDR is acquired by or on behalf of a
  64.           unit or  agency of  the United  States Government, this provision
  65.           applies. This GAP Development Software:

  67.           a)  was  developed  at  private  expense,  is  existing  computer
  68.               software, and  no part  of it  was developed  with government
  69.               funds,
  70.           b)  is a trade secret of GAP Development Company for all purposes
  71.               of the Freedom of Information Act,
  72.           c)  is "restricted  computer software"  submitted with restricted
  73.               rights in  accordance with  sub-paragraphs (a) through (d) of
  74.               the Commercial  Computer Software  - Restricted Rights clause
  75.               at 52.227-19 and its successors,
  76.           d)  in all  respects is  proprietary data belonging solely to GAP
  77.               Development Company,
  78.           e)  is  unpublished   and  all  rights  are  reserved  under  the
  79.               copyright laws of the United States.

  82.           SUMMARY OF LIMITED WARRANTY:

  84.           In summary, the SOFTWARE is licensed AS IS.  THERE ARE NO WARRAN-
  85.           TEES, EXPRESS  OR IMPLIED,  INCLUDING  BUT  NOT  LIMITED  TO  THE
  86.           IMPLIED  WARRANTIES   OF  MERCHANTABILITY   AND  FITNESS   FOR  A
  87.           PARTICULAR PURPOSE,  AND ALL  SUCH WARRANTIES  ARE EXPRESSLY  AND
  88.           SPECIFICALLY DISCLAIMED.   IN NO EVENT SHALL GAP DEVELOPMENT COM-
  89.           PANY BE  RESPONSIBLE FOR  ANY INDIRECT,  SPECIAL,  INCIDENTAL  OR
  90.           CONSEQUENTIAL DAMAGES  OR LOST PROFITS TO YOU OR ANY OTHER PERSON
  91.           OR ENTITY  REGARDLESS OF  THE LEGAL  THEORY, EVEN IF WE HAVE BEEN
  92.           ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  94.           No dealer,  company or  person is  authorized to  expand or alter
  95.           either these  warranties or  this agreement; any such representa-
  96.           tion will not bind GAP Development Company.

  100.                               REGISTRATION INFORMATION
  101.                               ------------------------

  104.           GAPCDR is  a professional development kit for Bulletin Board Door
  105.           Programmers. Written  in Microsoft  C and MASM, it is fast, reli-
  106.           able, easy  to use, and easy to incorporate into the serious pro-
  107.           grammer's source  code. It  consists of  a set of C and assembler
  108.           library routines to allow for easy door programming and interfac-
  109.           ing. Borland C compatibility is included.
  110.  
  111.           GAPCDR is  a user-supported  program, also  known as 'shareware'.
  112.           Shareware is a means by which users may 'test-drive' software be-
  113.           fore purchasing.   Generally,  it allows the user to evaluate the
  114.           software for  a period  of 30  days.  After the evaluation period
  115.           the user must either register the product or cease using it.
  116.  
  117.           The shareware  version of  GAPCDR is  identical to the registered
  118.           version with  the exception  that it includes the small model li-
  119.           braries only.
  120.  
  121.           You are  permitted under the terms of the above License Agreement
  122.           to use  GAPCDR for  a period  of 30  days without payment. If you
  123.           continue to  use the  product past  the 30 day evaluation period,
  124.           you must register your copy as described below.

  126.           Commercial use  of this  software absolutely requires a registra-
  127.           tion within the 30 day period.  Commercial use includes any soft-
  128.           ware written  by you  which utilizes  GAPCDR and which you charge
  129.           any sum  of money  for the  use of  your software.  This includes
  130.           shareware registration,  donations,  registration  fees,  or  any
  131.           method you  use or devise to solicit funds from the users of your
  132.           software.

  134.           Commercial use  also includes bundling GAPCDR with other software
  135.           even if  that other  software does  not utilize any of the GAPCDR
  136.           functions. This type of commercial use is strictly prohibited.

  138.           A great  deal of  time, money,  and  effort  went  into  creating
  139.           GAPCDR. In  order for  us to continue to provide quality software
  140.           at reasonable prices, we need your support.
  141.  
  142.           Registration of  GAPCDR is  a one  time fee of $25.00. Payment of
  143.           this fee  entitles you to one year of free upgrades, product sup-
  144.           port, the  right to use GAPCDR in any executable program you sell
  145.           or distribute,  and a  good conscience. You will also receive, in
  146.           the mail, the latest version along with the large model libraries
  147.           for Microsoft C and Borland C.
  148.  
  149.           Source code  is available  to registered users for a one time li-
  150.           cense fee of $35.00.  The source code is fully commented and well
  151.           structured. The  source code  is  avaliable  only  to  registered
  152.           GAPCDR users  and cannot  be licensed  as a separate product. The
  153.           Communications and  ANSI driver  routines are not included in the
  154.           basic source code registration.

  158.           A bound  and printed  manual is  also available for an additional
  159.           fee of  $10.00. The  printed manual is attractively formatted for
  160.           ease of  use and  readability. The manual is an extra fee because
  161.           many users  may not want it and they shouldn't have to pay for it
  162.           as part  of the  GAPCDR license  fee. The  $10.00 fee  covers the
  163.           printing and mailing costs.
